All aspects of the Sweepstakes shall be governed by the following terms and conditions (“Sweepstakes Rules”) and all participants, by their participation, expressly agree to be bound by the Sweepstakes Rules.

Eligibility

The Sweepstakes is open to all individuals who are at least 18 years old or the age of majority in their jurisdiction of residence, whichever is older, provided that you acknowledge this Sweepstakes is conducted in and subject to the laws of the United States. If you are not located in the United States, you (a) agree to the transfer of your personal information to the United States, which may have less protections than your jurisdiction or residence, and (b) are responsible for ensuring that your participation complies with the laws of your jurisdiction. Notwithstanding the foregoing, you are prohibited from entering the Sweepstakes if you reside in the Province of Quebec, Canada, Brazil, Hong Kong or any other jurisdiction where it is prohibited, or if you are residing in a country that is on the United States embargo countries list; or you are on the US Department of Treasury Specially Designated Nationals and Blocked Persons Lists (SDN);

Each eligible participant will be referred to herein as “you” “your” or “Participant.” Employees of Sponsor and other companies associated with the promotion of the Sweepstakes, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.

Agreement to Rules

Participation in the Sweepstakes constitutes your agreement to and acceptance of these Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being and staying compliant with the Sweepstakes Rules.

Sweepstakes Period

The Sweepstakes begins on 08/01/2022 12:00am PST and ends on 06/30/2023 at 11:59pm PST (the “Sweepstakes Period”). Entries that are submitted before or after the Sweepstakes Period will be disqualified.

Sweepstakes Entry Requirements

You can enter the Sweepstakes and earn the number of entries as set forth below:

1. Complete Survey: If you sign-up for the waitlist and complete the survey at https://.uspc.io/, you will receive 10 entries. You must use a valid email address to sign up which will be subject to verification; use a valid email address not already associated with the Sweepstakes; and complete the survey that follows the initial email submission. You can only enter once through this method. If you have completed the survey, you can earn additional entries as follows:

2. Sharing Survey Link: You will have the opportunity to generate a unique link to send to your family and friends to enter the Sweepstakes. To earn an entry through this method, each recipient of your link must (a) meet eligibility and compliance terms stated in these Sweepstakes Rules, (b) sign-up for the waitlist and (c) complete the survey. You will receive 10 entries for each unique person that enters the Sweepstakes from your unique link. In the event that the same recipient tries to enter through two different participant links, only the PARTICIPANT whose link was used and completed by the recipient will be awarded those entries.

3. Follow USPC on Twitter – you will earn 3 entries.

4. Retweet this Tweet from the USPC Twitter Account - You will receive 3 entries.

5. Join USPC Discord Community – you will earn 3 entries for joining.

6. Visit the USPC LinkedIn Page – you will receive 3 entries.

7. Visit the USPC Facebook Page – you will receive 1 entry.

8. Read the Whitepaper (via the link on the status page) – you will receive 5 entries.

9. Mail-in Entry - If you do not wish to enter through completing a survey, you can mail us a postcard with your name, address and email address to 4695 MacArthur Ct. Suite #1100, Newport Beach, CA 92660 – this postcard must be postmarked and received during the Sweepstakes Period to be eligible. Once received, we will send your entry confirmation and unique “Sharing Survey Link” to the email address provided on your postcard, which you can use to earn additional entries as noted Sweepstakes Entry Requirement numbered 2. –Mail-in-Entry participants will receive 23 entries for a Mail-In Entry as an alternative method of entry for the aforementioned “Sweepstakes Entry Requirements” numbered: 1, 3-9. You can only enter once through this method. Please note that you cannot enter initially through both the Mail-in Entry and Survey method.

You can earn additional bonus entries if your total number of entries through above methods reaches the following tiers:

Tier 1 – 100 entries = 20 bonus entries

Tier 2 – 250 entries = 50 bonus entries

Tier 3 – 500 entries = 100 bonus entries

Tier 4 – 1000 entries = 200 bonus entries

Tier 5 – 2000 entries = 500 bonus entries

Tier 6 - 5,000 entries = 1,000 bonus entries

You are responsible for making all disclosures required under applicable law in connection with any tweets or sharing in making entries, including that they are being done in connection with this Sweepstakes.

You can only enter under your real name and a single email address. Attempts to gain additional entries through use of multiple, alternative or fictitious names and accounts or email accounts is prohibited.

SELECTION OF WINNER AND ODDS OF WINNING

On or about 06/30/2023, Sponsor will tally the number of entries applicable to each Participant and select the winners of the prizes below based on a random drawing of all eligible entries. You agree to be bound by all decisions of Sponsor with respect to this Sweepstakes, including, but not limited to, Sponsor’s determination of eligibility, number of entries, selection of winners, details and values of prizes, and interpretation of these Sweepstakes Rules. Odds of winning depend on the number of eligible entries received.

PRIZES

The following prizes will be awarded in the following order:

Maldives Trip for Two (1 winner). This trip consists of economy airfare from a major US airport to the Maldives, hotel accommodations for two (double occupancy) for up to 5 nights at a hotel designated by Sponsor. The winner and guest are responsible for all meals, beverages, parking, ground transportation, tips, incidentals, excursions and other costs of the trip not covered above. Estimated value: $20,000. Winner and his/her travel companion are responsible for having all travel documents (including passports and vaccination records) to participate in this trip. Blackout dates may apply. Travel must be arranged through Sponsor and completed by no later than [insert date].

Tesla Model 3 (1 winner). Estimated value: $50,000. The Winner is responsible for any and all taxes, title, registration, plate fees, documentation fees, full-coverage insurance, and for all costs associated with the prize vehicle and any other expenses related to the acceptance and use of the prize vehicle, except in those states where applicable law provides that the winner is not responsible for sales tax on the Prize vehicle (e.g. Wisconsin). The winner must have a valid U.S. driver's license and proof of insurance, and sign all required dealer documentation, to take delivery of the prize vehicle. The vehicle awarded may differ from any vehicle shown in promotion materials. Vehicle color, options and equipment will be determined by Sponsor in its sole discretion. Prize vehicles will be delivered to Winners within a reasonable period of time, weather permitting.

$1,000 Amazon Gift Card (10 winners). Estimated value: $1,000 each. Additional terms and conditions may apply to us of this gift card.

iPhone 14 (5 winners). This prize does not include wireless or cellular plans. Estimated value: $1,000+ each

100 USPC or cash equivalent ($100) to 100 winners. Estimated value: $100 each. Only accredited investors under applicable laws are eligible to receive USPC. All other winners will receive cash equivalent.

The winners shall be solely responsible for any and all costs and expenses associated with acceptance and use of the prize not expressly described herein. All prizes are subject to availability. Sponsor reserves the right to substitute a prize, or prize element, of equal or greater monetary value (whether in cash or otherwise) if a prize, or prize element, cannot be awarded as described for any reason.

Taxes

All income and other taxes assessed on the award of the Prize, if any, are the winner’s sole responsibility to the extent provided by applicable law. We will issue a Form 1099 to any winner of prize with a value of $600 or more as determined by us in our sole discretion.

No Prize Transfer or Substitution

No prize or any portion thereof is transferable or redeemable for cash except as noted above. Any portion of the prize that is not used is forfeited. No substitutions for any prize will be available except as noted above. If a prize is returned as undeliverable or is forfeited or refused, this may result in disqualification and an alternate winner may be selected, if time permits.

Winner Notification

Sponsor will attempt to notify the potential winner(s) of the prizes via email on or about 06/30/2023. If you have been selected for a prize, you will be notified by email at the email address provided in connection with your entry. You will be required to respond to us within five (5) days of the date notice is sent, in order to claim your prize. If you cannot be contacted by us, or you fail to respond appropriately within the required time period, or the prize is returned as undeliverable, you shall forfeit your prize and an alternate winner may be selected. We will require all winners to sign a Declaration of Eligibility and Liability and Publicity Release (except where prohibited by law) as a condition to receiving a prize; USPC winners will also have to demonstrate they qualify as accredited investors. In addition, the guest of the Maldives trip prize will be required to be the age of majority and required to sign a Liability and Publicity Release. All prize documentation must be signed and received by Sponsor within ten (10) days of it being issued or the prize may be forfeited. Receiving a prize of any type is contingent upon fulfilling all requirements and compliance with these Sweepstakes Rules. In the event that a prize recipient is disqualified for any reason, Sponsor may, but is not obligated to provide an alternate prize, or extend the Sweepstakes Period in any way. You agree to provide complete and accurate information in connection with claiming your prize.

General Conditions

In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, technical problems, security malfunctions hacking or other security breaches, regulatory action or changes in law, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, Sponsor may, in its sole discretion, either: (1) suspend the Sweepstakes to address the impairment and then resume in a manner that best conforms to the spirit of these Sweepstakes Rules; or (2) terminate the Sweepstakes and, in the event of termination, no participant shall be entitled to a prize of any type, unless required by law. In addition, if Sponsor is prevented from continuing with this Sweepstakes or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute, or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, provincial or local government law, order of regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s or Related Entities’ control (each a “Force Majeure” event) the Sponsor shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Sponsor, in its sole discretion, elects to abbreviate, cancel or terminate the Sweepstakes as a result of a Force Majeure event, the Sponsor reserves the right, but shall have no obligation, to award the prize from among all valid and entries received up to the time of such Force Majeure event.

Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Sweepstakes or to be acting in violation of these Sweepstakes Rules or engaging in any activity disruptive to the Sweepstakes or disparaging of Sponsor. Any attempt by any person to damage the Sponsor website or survey links or undermine the legitimate operation of the Sweepstakes may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any provision of these Sweepstakes Rules shall not constitute a waiver of that provision.

No Relationship with Us

Your participation in the Sweepstakes shall in any way be construed to create any relationship, whether as an agent, employee, or representative of Sponsor. Without limiting the generality of the foregoing, you are not authorized to bind Sponsor to any liability or obligation or to represent that you have any such authority.

Right to Change Any and All Terms of the Sweepstakes

Sponsor reserves the right, in its sole and absolute discretion with or without notice, to alter any and all of the terms and conditions of the Sweepstakes or Sweepstakes Rules. You acknowledge that the information contained herein is subject to change without notice.

Publicity Rights

By entering the Sweepstakes (except where prohibited by law), Participants consent to the use of their names, pictures, likenesses, voices, biographical data, and/or any information and image contained in their entry in advertising, promotion and marketing materials throughout the world, including on the Internet, by Sponsor, its promotional partners and third-party marketing entities, without additional compensation, notice, review, or approval. Nothing contained in these Sweepstakes Rules obligates Sponsor to make use of any of the rights granted herein and winner waives any right to inspect or approve any such use.

No Representation or Warranty

Neither Sponsor nor its affiliated persons and their respective shareholders, members, officers, directors, managers, employees, counsel, advisors, consultants, and agents (“Representatives”) shall be held liable for any use of or reliance on the information described and/or contained herein. Sponsor and its Representatives do not and do not purport to make, and hereby disclaims, all representations, warranties or undertaking to any entity or person made by any person including you. You are not authorized to provide any information, representation, or warranty regarding Sponsor, USPC, or the Sweepstakes. SPONSOR MAKES NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS SWEEPSTAKES OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE.

Release and Limitations of Liability

By participating in the Sweepstakes, you agree, to the fullest extent permitted by law, to release and hold harmless Sponsor, its Representatives, and Twitter, Instagram, Google, Facebook and LinkedIn, and each of its respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (together, “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt of a Reward, including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, or wireless service provider; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical human, printing or typographical errors; or (d) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sweepstakes or acceptance, receipt or misuse of any Reward you may receive. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Participant be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.

Privacy & Information Submitted

As a condition of entering the Sweepstakes, you give consent for Sponsor to obtain and deliver his or her name, address and other information (including accredited investor and Know Your Customer data, to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules. You consent to the transfer of such information to the United States, which may have less protections for your personal information than your jurisdiction of residence. Any information you provide to Sponsor may be used to communicate with you in relation to this Sweepstakes or on a Sweepstakes Winners list. Information submitted in connection with the Project will be treated in accordance with the Sponsor’s Privacy Policy. Under no circumstances shall any individual associated with Sponsor have any personal liability, which is expressly waived by Participant upon participation in the Sweepstakes.

Miscellaneous

The invalidity or unenforceability of any provision of these Sweepstakes Rules or the prize acceptance documents will not affect the validity or enforceability of any other provision. In the event that any provision of the Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Sweepstakes Rules will not constitute a waiver of that provision. You agree to waive any rights to claim ambiguity of these Sweepstakes Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Sponsor website and/or the terms and conditions of the Sweepstakes Rules, the Sweepstakes Rules shall prevail, govern and control.

Arbitration and Choice of Law

These Sweepstakes Rules shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than California.

Except where prohibited, and unless you opt-in as set forth below, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved by binding arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitration proceedings shall take place in the City of Los Angeles, State of California. Each party is responsible for paying its own filing, administrative and arbitrator fees. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. Any claim arising under these Sweepstakes Rules or relating to the Sweepstakes or a prize shall be filed within one (1) year of the accrual of the claim or it be forever barred.

You can opt-out of arbitration by sending an email Sponsor at [insert email address] with your name and the subject line: Opt-Out of Arbitration for Sweepstakes. Such email must be received by us no later than five (5) days of your entry or you will be deemed to have agreed to be bound by this arbitration provision.

In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties.

THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE PARTICIPANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE SWEEPSTAKES RULES.

BY PARTICIPATING IN THE SWEEPSTAKES, EACH PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY PARTICIPANT.

If you are not located in the United States, you (a) agree to the transfer of your personal information to the United States, which may have less protections than your jurisdiction or residence, and (b) are responsible for ensuring that your participation complies with the laws of your jurisdiction. Notwithstanding the foregoing, you are prohibited from entering the Sweepstakes if you reside in the Province of Quebec, Canada, Brazil, Hong Kong or any other jurisdiction where it is prohibited, or if you are residing in a country that is on the United States embargo countries list; or you are on the US Department of Treasury Specially Designated Nationals and Blocked Persons Lists (SDN);

Each eligible participant will be referred to herein as “you” “your” or “Participant.” Employees of Sponsor and other companies associated with the promotion of the Sweepstakes, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.

Agreement to Rules

Participation in the Sweepstakes constitutes your agreement to and acceptance of these Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being and staying compliant with the Sweepstakes Rules.

Sweepstakes Period

The Sweepstakes begins on 08/01/2022 12:00am PST and ends on 06/30/2023 at 11:59pm PST (the “Sweepstakes Period”). Entries that are submitted before or after the Sweepstakes Period will be disqualified.

Sweepstakes Entry Requirements

You can enter the Sweepstakes and earn the number of entries as set forth below:

1. Complete Survey: If you sign-up for the waitlist and complete the survey at www.uspc.io, you will receive 10 entries. You must use a valid email address to sign up which will be subject to verification; use a valid email address not already associated with the Sweepstakes; and complete the survey that follows the initial email submission. You can only enter once through this method. If you have completed the survey, you can earn additional entries as follows:

To earn an entry through this method, each recipient of your link must (a) meet eligibility and compliance terms stated in these Sweepstakes Rules, (b) sign-up for the waitlist and (c) complete the survey. You will receive 10 entries for each unique person that enters the Sweepstakes from your unique link. In the event that the same recipient tries to enter through two different participant links, only the PARTICIPANT whose link was used and completed by the recipient will be awarded those entries.

8. Mail-in Entry - If you do not wish to enter through completing a survey, you can mail us a postcard with your name, address and email address to 4695 MacArthur Ct. Suite #1100, Newport Beach, CA 92660 – this postcard must be postmarked and received during the Sweepstakes Period to be eligible. Once received, we will send your entry confirmation and unique “Sharing Survey Link” to the email address provided on your postcard, which you can use to earn additional entries as noted Sweepstakes Entry Requirement numbered 2. –Mail-in-Entry participants will receive 23 entries for a Mail-In Entry as an alternative method of entry for the aforementioned “Sweepstakes Entry Requirements” numbered: 1, 3-9. You can only enter once through this method. Please note that you cannot enter initially through both the Mail-in Entry and Survey method.

You can earn additional bonus entries if your total number of entries through above methods reaches the following tiers:

SELECTION OF WINNER AND ODDS OF WINNING

On or about 06/30/2023, Sponsor will tally the number of entries applicable to each Participant and select the winners of the prizes below based on a random drawing of all eligible entries. You agree to be bound by all decisions of Sponsor with respect to this Sweepstakes, including, but not limited to, Sponsor’s determination of eligibility, number of entries, selection of winners, details and values of prizes, and interpretation of these Sweepstakes Rules. Odds of winning depend on the number of eligible entries received.

PRIZES

The following prizes will be awarded in the following order:

Maldives Trip for Two (1 winner). This trip consists of economy airfare from a major US airport to the Maldives, hotel accommodations for two (double occupancy) for up to 5 nights at a hotel designated by Sponsor. The winner and guest are responsible for all meals, beverages, parking, ground transportation, tips, incidentals, excursions and other costs of the trip not covered above. Estimated value: $20,000. Winner and his/her travel companion are responsible for having all travel documents (including passports and vaccination records) to participate in this trip. Blackout dates may apply. Travel must be arranged through Sponsor and completed by no later than [insert date].

Tesla Model 3 (1 winner). Estimated value: $50,000. The Winner is responsible for any and all taxes, title, registration, plate fees, documentation fees, full-coverage insurance, and for all costs associated with the prize vehicle and any other expenses related to the acceptance and use of the prize vehicle, except in those states where applicable law provides that the winner is not responsible for sales tax on the Prize vehicle (e.g. Wisconsin). The winner must have a valid U.S. driver's license and proof of insurance, and sign all required dealer documentation, to take delivery of the prize vehicle. The vehicle awarded may differ from any vehicle shown in promotion materials. Vehicle color, options and equipment will be determined by Sponsor in its sole discretion. Prize vehicles will be delivered to Winners within a reasonable period of time, weather permitting.

100 USPC or cash equivalent ($100) to 100 winners. Estimated value: $100 each. Only accredited investors under applicable laws are eligible to receive USPC. All other winners will receive cash equivalent.

The winners shall be solely responsible for any and all costs and expenses associated with acceptance and use of the prize not expressly described herein. All prizes are subject to availability. Sponsor reserves the right to substitute a prize, or prize element, of equal or greater monetary value (whether in cash or otherwise) if a prize, or prize element, cannot be awarded as described for any reason.

Taxes

All income and other taxes assessed on the award of the Prize, if any, are the winner’s sole responsibility to the extent provided by applicable law. We will issue a Form 1099 to any winner of prize with a value of $600 or more as determined by us in our sole discretion.

No Prize Transfer or Substitution

No prize or any portion thereof is transferable or redeemable for cash except as noted above. Any portion of the prize that is not used is forfeited. No substitutions for any prize will be available except as noted above. If a prize is returned as undeliverable or is forfeited or refused, this may result in disqualification and an alternate winner may be selected, if time permits.

Winner Notification

Sponsor will attempt to notify the potential winner(s) of the prizes via email on or about 06/30/2023. If you have been selected for a prize, you will be notified by email at the email address provided in connection with your entry. You will be required to respond to us within five (5) days of the date notice is sent, in order to claim your prize. If you cannot be contacted by us, or you fail to respond appropriately within the required time period, or the prize is returned as undeliverable, you shall forfeit your prize and an alternate winner may be selected. We will require all winners to sign a Declaration of Eligibility and Liability and Publicity Release (except where prohibited by law) as a condition to receiving a prize; USPC winners will also have to demonstrate they qualify as accredited investors. In addition, the guest of the Maldives trip prize will be required to be the age of majority and required to sign a Liability and Publicity Release. All prize documentation must be signed and received by Sponsor within ten (10) days of it being issued or the prize may be forfeited. Receiving a prize of any type is contingent upon fulfilling all requirements and compliance with these Sweepstakes Rules. In the event that a prize recipient is disqualified for any reason, Sponsor may, but is not obligated to provide an alternate prize, or extend the Sweepstakes Period in any way. You agree to provide complete and accurate information in connection with claiming your prize.

General Conditions

In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, technical problems, security malfunctions hacking or other security breaches, regulatory action or changes in law, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, Sponsor may, in its sole discretion, either: (1) suspend the Sweepstakes to address the impairment and then resume in a manner that best conforms to the spirit of these Sweepstakes Rules; or (2) terminate the Sweepstakes and, in the event of termination, no participant shall be entitled to a prize of any type, unless required by law. In addition, if Sponsor is prevented from continuing with this Sweepstakes or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute, or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state, provincial or local government law, order of regulation, order of any court or jurisdiction, or other cause not reasonably within the Sponsor’s or Related Entities’ control (each a “Force Majeure” event) the Sponsor shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Sponsor, in its sole discretion, elects to abbreviate, cancel or terminate the Sweepstakes as a result of a Force Majeure event, the Sponsor reserves the right, but shall have no obligation, to award the prize from among all valid and entries received up to the time of such Force Majeure event.

Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Sweepstakes or to be acting in violation of these Sweepstakes Rules or engaging in any activity disruptive to the Sweepstakes or disparaging of Sponsor. Any attempt by any person to damage the Sponsor website or survey links or undermine the legitimate operation of the Sweepstakes may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by Sponsor to enforce any provision of these Sweepstakes Rules shall not constitute a waiver of that provision.

No Relationship with Us

Your participation in the Sweepstakes shall in any way be construed to create any relationship, whether as an agent, employee, or representative of Sponsor. Without limiting the generality of the foregoing, you are not authorized to bind Sponsor to any liability or obligation or to represent that you have any such authority.

Right to Change Any and All Terms of the Sweepstakes

Sponsor reserves the right, in its sole and absolute discretion with or without notice, to alter any and all of the terms and conditions of the Sweepstakes or Sweepstakes Rules. You acknowledge that the information contained herein is subject to change without notice.

Publicity Rights

By entering the Sweepstakes (except where prohibited by law), Participants consent to the use of their names, pictures, likenesses, voices, biographical data, and/or any information and image contained in their entry in advertising, promotion and marketing materials throughout the world, including on the Internet, by Sponsor, its promotional partners and third-party marketing entities, without additional compensation, notice, review, or approval. Nothing contained in these Sweepstakes Rules obligates Sponsor to make use of any of the rights granted herein and winner waives any right to inspect or approve any such use.

No Representation or Warranty

Neither Sponsor nor its affiliated persons and their respective shareholders, members, officers, directors, managers, employees, counsel, advisors, consultants, and agents (“Representatives”) shall be held liable for any use of or reliance on the information described and/or contained herein. Sponsor and its Representatives do not and do not purport to make, and hereby disclaims, all representations, warranties or undertaking to any entity or person made by any person including you. You are not authorized to provide any information, representation, or warranty regarding Sponsor, USPC, or the Sweepstakes. SPONSOR MAKES NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS SWEEPSTAKES OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE.

Release and Limitations of Liability

By participating in the Sweepstakes, you agree, to the fullest extent permitted by law, to release and hold harmless Sponsor, its Representatives, and Twitter, Instagram, Google, Facebook and LinkedIn, and each of its respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (together, “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt of a Reward, including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, or wireless service provider; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical human, printing or typographical errors; or (d) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sweepstakes or acceptance, receipt or misuse of any Reward you may receive. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Participant be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.

Privacy & Information Submitted

As a condition of entering the Sweepstakes, you give consent for Sponsor to obtain and deliver his or her name, address and other information (including accredited investor and Know Your Customer data, to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules. You consent to the transfer of such information to the United States, which may have less protections for your personal information than your jurisdiction of residence. Any information you provide to Sponsor may be used to communicate with you in relation to this Sweepstakes or on a Sweepstakes Winners list. Information submitted in connection with the Project will be treated in accordance with the Sponsor’s Privacy Policy. Under no circumstances shall any individual associated with Sponsor have any personal liability, which is expressly waived by Participant upon participation in the Sweepstakes.

Miscellaneous

The invalidity or unenforceability of any provision of these Sweepstakes Rules or the prize acceptance documents will not affect the validity or enforceability of any other provision. In the event that any provision of the Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Sweepstakes Rules will not constitute a waiver of that provision. You agree to waive any rights to claim ambiguity of these Sweepstakes Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Sponsor website and/or the terms and conditions of the Sweepstakes Rules, the Sweepstakes Rules shall prevail, govern and control.

Arbitration and Choice of Law

These Sweepstakes Rules shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than California.

Except where prohibited, and unless you opt-in as set forth below, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved by binding arbitration in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitration proceedings shall take place in the City of Los Angeles, State of California. Each party is responsible for paying its own filing, administrative and arbitrator fees. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. Any claim arising under these Sweepstakes Rules or relating to the Sweepstakes or a prize shall be filed within one (1) year of the accrual of the claim or it be forever barred.

You can opt-out of arbitration by sending an email Sponsor at [insert email address] with your name and the subject line: Opt-Out of Arbitration for Sweepstakes. Such email must be received by us no later than five (5) days of your entry or you will be deemed to have agreed to be bound by this arbitration provision.

In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by AAA, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties.

THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE PARTICIPANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE SWEEPSTAKES RULES.

BY PARTICIPATING IN THE SWEEPSTAKES, EACH PARTICIPANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY PARTICIPANT.
